I. Business Plans Services:

It is difficult for a traveler to find their way without a map of the alternative roads to get them where the traveler wants to go. Often business plans are required to be submitted for certain financing request for debt and/or equity. A business plans is an integral part of private placement memorandum which is needed to be submitted for some financing request. U&H can assists you in planning your financial growth by helping you design and maintain the appropriate accounting, employee relationship productivity (ERP), sales force automation (SFA) and/or customer relationship management (CRM) systems. First, we advise you in choosing a the most beneficial and economical system(s) for your business. Secondly, if needed, we will assist you in data transfer, system implementation and then provide required training. Additionally, at your request, we will be available to serve as your ongoing "troubleshooters" to quickly answer questions and resolve issues.

We are proud to be one of only approximately 250 firms in the United State to be a Certified Consultant for the NetSuite Small Business (formerly NetLedger) financial management systems. To become certified, we had to pass a rigorous examination in order to be authorized to provide implementation, training and consulting services for NetSuite (formerly NetLedger) systems. The Internet browser based systems offers data entry and retrieval 24 hours a day, 7 days a week and from any location in the world. The NetSuite program combine the back office systems, accounting and ERP, with the front office systems, SFA and CRM, where contact is made with prospects and existing clients. All programs and data are stored centrally on one NetSuite database so no multiple data re-entry is needed for accounting, ERP, SFA and CRM. This integrated system also eliminates the need for updates of programs or back-ups of data, which is all handled for you by NetSuite (formerly NetLedger). Additionally, you do not need to upgrade to more expensive hardware to utilize the latest and best updated software, since all you need to gain access to your programs and data is: (1) a connection to the Internet and (2) a browser. Nevertheless, you can download your data yourself, for your own back-up, or for use in other electronic programs, such as Word or Excel, whenever desired. The NetSuite (formerly NetLedger) applications offers the benefit of an integrated business application previously only available to the world's largest corporations, but at a small business price.

Additionally, the firm is a member of QuickBooks Professional Advisor Program and Peachtree Accounting Program and are Peachtree Accounting Partners. The QuickBooks and Peachtree accounting systems, both offer an economical accounting system for new and small businesses. We have installed and consulted many companies for these two systems.

Whether you choose QuickBooks, Peachtree, NetSuite Small Business Suite or another system, we will take the guesswork out of choosing a system and getting it to work effectively and efficiently. Additionally, we will provide you continual support to keep your systems running smoothly at all times.

IV. Financing services:

Beginning and expanding businesses require additional capital to finance those plans. The needed financing can be sourced internal, externally, or by a combination of both. We can advise you of your financing alternatives and relative cost of each. Additionally, we can assist you in obtaining the needed information required to access each financing source. The needed information could be financial statements, budgets and/or a business plan. We stand by to support your need for assistance, often requiring time and resources above and beyond that available within you company, to assist you in seeking the desired financing.

V. Expert Witness, Litigation Support and Forensic Accounting Services:

We are often consulted during corporate and partnership disputes and matrimonial dissolutions to provide business valuation services and uncover malfeasance and financial irregularities. VI. SEC Consulting Services:

Working with public companies requires experience and knowledge. Our firm has a wealth of experience specializing in professional accounting and consulting services to small public companies and their executives. We have performed numerous consulting engagements for companies including assisting the outside accountants and lawyers in initial public offerings, secondary offerings, private placements and routine reporting requirements (Form 10-K, Form 10-Q and Form 8-K) for a variety of different industries. We have experience in engagements for companies involved in SEC compliance issues including working with outside professionals in developing and formulating responses to various SEC inquiries. We can assist with the preparation and financial presentations for the company's Board of Directors.
